An adviser has custody solely because a person affiliated with the advisory firm holds, directly or indirectly, client funds or securities, or has any authority to obtain possession of them in connection with advisory services you provide to clients.
The firm will not be subject to a surprise exam if the affiliated person, who the SEC describes as a related person, is operationally independent from the firm.
